One explanation for Delaware’s status as the leading locus of incorporation for public corporations and, hence, as the dominant force in corporate law is that the state offers a rich body of precedent developed by a highly expert judiciary capable of resolving time sensitive business disputes in a very rapid manner. In a long and detailed post on the CA v. AFSCME decision, Delaware lawyer Francis Pileggi reflects with justifiable pride on his home state’s bench:
I invite readers to tell me if they are aware of any other state’s highest court that can be counted on, predictably, to render such a weighty decision within a week of hearing oral argument--and when the briefs were only submitted a mere two (2) days prior to oral argument.
