Delaware Chancellor Chandler recently issued an important decision on interpreting M&A contracts in United Rentals, Inc v. Ram Holdings, Inc. I commend to your attention a thoughtful analysis by Steven Davidoff, which prompted some thoughtful comments by Larry Ribstein, which prompted a thoughtful reply by Jeff Lipshaw, which elicited a thoughtful rebuttal from Ribstein. As for me, however, I have no thoughts on the matter whatsoever.
