Incentives versus Prophylactics

Ken lehn offers a paper, Reforming Regulation of Corporate Governance, “Congress should repeal those parts of Sarbanes-Oxley that micromanage corporate governance procedures and focus on policy variables that affect the expected costs and benefits of accounting fraud.” Makes sense to me.
